Our attorneys provide focused attention with over 25 years of transactional experience. We have worked extensively on important merger and acquisition, dissolution, shareholder and joint venture agreement negotiations, accounting proceedings, franchise formation and development, subsidiary formation and succession planning. We also have a wide range of experience in corporate crisis management, as well as compliance plan development and implementation.

We counsel and work with our clients on internal investigations as required by management, principals and executive committees of corporations, healthcare delivery businesses and medical groups. We regularly advise clients about effective reform programs, corrective courses of action, preventive courses of action and the implementation of documentary and operational systems approaches to corporate compliance among varied industries. Our attorneys have capably guided clients through extensive criminal and civil state and federal investigations.

We work on behalf of management and prospective employees in the negotiation of long-term professional services agreements, healthcare profession employment agreements, management agreements, equipment leasing, and lending agreements commercial leasing agreements and turnkey office facility development agreements. We also act closely with private consultants to develop fair market valuations in order to negotiate healthcare facility and/or office-based lease and license agreements.

We regularly provide legal services and analysis for pre-acquisition due diligence and effectively integrate the work of well-recognized specialists in both our analysis and recommendation. Our first order of business is to acquire an intimate knowledge of a client's business, and apply the firm's decades of experience to assist the client in improving operations while identifying growth opportunities and cost savings. When appropriate, we will advise on the accretive value of well considered business practice modifications including new service lines, new business lines, synergistic specialties, operational efficiencies, outsourcing and vertical integration of business practices. When appropriate, we will also explore risk-benefit analysis of acquisitions or divestitures.

Our practice is frequently called upon to offer proactive counseling to our clients, provide compliance-auditing, operations analysis, and risk-benefit analysis of existing business practices.
